Welcome to FS Nexa. These Terms & Conditions (“Terms”) govern your use of fsnexa.com, our tools and products (including Unfreeze Tools, Toolizo, Bulk DAPA, GetListed USA, and Tools Tecique), and any services provided by FS Nexa (“we,” “us,” “our”). By accessing our website or engaging our services, you agree to these Terms.

1. Who We Are

FS Nexa is a two-person web development and SEO studio run by Faique Ahmad and Attique Shehzad. We provide custom WordPress development, plugin and API development, technical SEO, structured data implementation, content strategy, and related digital services, alongside our own suite of free online tools.

2. Use of Our Website and Tools

You agree to use our website and tools only for lawful purposes. You may not:

• Use our tools to violate any applicable law or third-party right
• Attempt to reverse-engineer, scrape, or overload our tools/servers through automated means (bots, bulk scripts) beyond normal, intended use
• Use our tools to process, generate, or distribute content that is illegal, infringing, or harmful
• Attempt to gain unauthorized access to any part of our systems

We reserve the right to restrict or terminate access to anyone who misuses our Services.

3. Free Tools Disclaimer

Our tools (e.g., DA/PA checkers, calculators, downloaders) are provided “as is,” free of charge, without warranty of any kind. Results, calculations, or data provided by third-party APIs integrated into our tools are provided for informational purposes only and should not be treated as guaranteed accurate, complete, or fit for any specific business or legal decision. We do not guarantee uninterrupted or error-free availability of our tools.

4. Client Services

Scope of Work: For paid client projects (web development, SEO, or related services), the specific scope, deliverables, timeline, and pricing will be defined in a separate proposal, invoice, or written agreement between FS Nexa and the client. These Terms apply in addition to any such agreement.

Payments: Unless otherwise agreed in writing, payments are due according to the schedule outlined in the project proposal or invoice. Late payments may result in paused work or additional fees.

Revisions: The number of revisions included in a project will be defined in the project agreement. Additional revisions beyond the agreed scope may incur extra charges.

Client Responsibilities: Clients are responsible for providing timely feedback, necessary access (hosting, domain, third-party accounts), and accurate information required to complete the project. Delays caused by the client may affect project timelines.

Third-Party Services: Where a project requires third-party plugins, themes, hosting, or paid APIs, any associated licensing fees or subscription costs are the responsibility of the client unless otherwise agreed.

5. Intellectual Property

Client Projects: Upon full payment, clients receive ownership rights to the custom code, design, and content created specifically for their project, excluding any third-party licensed assets (themes, plugins, stock images) which remain subject to their own licenses.

Our Own Products: All rights, code, design, and content related to Unfreeze Tools, Toolizo, Bulk DAPA, GetListed USA, Tools Tecique, and the FS Nexa website and brand remain the sole property of FS Nexa and may not be copied, reproduced, or redistributed without permission.

6. Warranties and Liability

We perform our services with professional care and to the best of our ability. However:

• We do not guarantee specific search engine rankings, traffic outcomes, or business results, as these depend on factors outside our control (search engine algorithm changes, market competition, third-party platform policies).
• We are not liable for indirect, incidental, or consequential damages arising from the use of our website, tools, or services.
• Our total liability for any claim related to paid services is limited to the amount paid by the client for the specific service in question.

7. Confidentiality

We treat client project details, business information, and shared files as confidential and will not disclose them to third parties without consent, except as required to deliver the service (e.g., necessary third-party integrations) or as required by law.

8. Termination

Either party may terminate an ongoing project engagement with written notice, subject to payment for work completed up to the termination date. We reserve the right to suspend or terminate access to our free tools for any user found violating these Terms.

9. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated “Last Updated” date. Continued use of our Services after changes constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws applicable in the jurisdiction where FS Nexa operates, without regard to conflict of law principles.
